Terms & Conditions

  1. These Terms and Conditions shall apply to the supply of products/provision of services provided by Wondar Limited, hereinafter referred to as the Supplier.
     

  2. A binding contract will only come into existence on receipt of the Customer's acceptance of the proposal and payment of deposit.
     

  3. Fees applicable are those as detailed in the invoice and represent goods/services provided in respect of the project.
     

  4. 50% of the project cost will be payable after the script has been signed off, with the full balance due upon completion of the project and prior to it going live.
     

  5. The Supplier will perform the services using reasonable care and skill; use personnel who have appropriate skills and experience for their duties and ensure that the services comply with the specification; obtain and maintain all licences, permits and other consents required for its performance of the services; comply with all applicable laws and regulations.
     

  6. On completion of the every project stage – script, storyboard and animation – a preview version will be placed online for the client to view. The Customer will have the opportunity to provide feedback passes of each project stage. Feedback passes do not cover the re-visiting of a previous project stage, as those stages will have already been signed off by the Customer.
     

  7. The Customer will afford the Supplier reasonable access to the Customer personnel; and provide the Supplier such facilities, information and assistance (ensuring that information is complete and accurate); in each case as required to allow the Supplier to perform the Services. The customer co-operates fully with the Supplier and follows the Supplier’s reasonable instructions in relation to the performance of the Services.
     

  8. The Customer warrants that the Customer materials are free from any defects, viruses, malware or other similar harmful software code and do not infringe any other party’s Intellectual Property Rights and do not contain any unlawful or offensive material and do not promote any unlawful activity.
     

  9. If no feedback is received within 15 days of the online preview it is deemed that the project is complete and an invoice will be sent to the Customer for the balance payment.
     

  10. The project may be terminated by either party, giving to the other two weeks notice in writing. The Supplier will, upon termination of the project, invoice the Customer for all work completed and all expenses incurred up to the end of the notice period.
     

  11. Whilst the Supplier will use all reasonable endeavours to meet any milestone dates set out in the order, such dates are approximate only, and time of performance is not of the essence. The Supplier will not be liable for any delay in or failure of performance of the services (including any failure to achieve any milestone or other date) so far as caused by an event of Force Majeure or the Customer’s failure to perform its obligations under the contract. The supplier will notify the Customer in advance of such changes.
     

  12. Any forecast or estimates made by the Supplier for the project and the results attainable are given in good faith, having regard to the information made available by the Customer, and represents the Supplier’s interpretation of the Customer’s instructions. Any such estimates and any confirmation, or variance from them, in subsequent reports and correspondence shall not be taken in any respect as an undertaking, warranty or contractual condition.
     

  13. From time to time, samples of our work may be uploaded to the Supplier’s social channels. Unless otherwise stated at the start of the project, consent to use the video for promotional purposes is assumed. If the content of a video is deemed to be confidential or not suitable for the public domain, then the Customer must request in writing, that any video outputs be protected.
     

  14. Any additional work that is not part of the invoice, that is being asked of the Supplier, is deemed not part of the contract and will be subject to separate negotiation and fee. Acceptance of the additional fee needs to be confirmed in writing by the Customer.
     

  15. All source files (i.e. native footage etc, AE and PP project files) are the property of the Supplier and can be released upon written request by the Customer. Upon payment of the final balance, the customer has full rights and permissions to use the 'edited' footage for all reasonable promotional and advertising work - including upload to website, internet, tablet, smartphone.
     

  16. All voiceovers provided by the Supplier, are done so via third party partners and are licensed to be used on internal communications, social channels and websites. Voiceovers provided by the Supplier are not licensed to be broadcast; videos intended to be used as ‘paid for’ media, such as, YouTube adverts, TV commercials etc, have to be quoted on an individual basis. The third parties will determine the appropriate cost of the usage fee based on the estimated viewing figures of the Customer’s video.
     

  17. It is the responsibility of the Customer to provide guidance on unusual pronunciations of names or technical details contained in the approved script. Alterations to the voice over after the script has been signed off may be chargeable.
     

  18. The voice over will be of professional quality. The voice over will be the exact text read from the copy of the script signed off by the Customer. Any additional recordings may incur an extra charge.
     

  19. The Supplier reserves the right to commission freelance support or outsource any job if it is felt it is in the best interests of the Customer. Any outsourced job remains the property/responsibility of the Supplier and such services are deemed to be carried out ‘indirectly’ by the Supplier.
     

  20. Terms and conditions are subject to change at anytime.

 

Video packages:

 

Screen Recorded Web Video – A screen-recorded video created using recorded website footage, as it appears live on the device screen; animated screenshots may be used. The screen-recorded footage may be composited on 3D devices and titles and supplied graphics may also be used. This package does not include the creation of bespoke graphics. Additional charges apply for stock imagery or purchased items to be used in the video.
 

Screen Recorded Mobile Video - A screen-recorded video created using recorded mobile footage, as it appears live on the device screen; animated screenshots may be used. The screen-recorded footage may be composited on 3D devices and titles and supplied graphics may also be used. This package does not include the creation of bespoke graphics. Additional charges apply for stock imagery or purchased items to be used in the video.
 

Animated Video – An animated video created using illustrations. This video includes the illustration and animation of characters, transitions and effects. The package includes animation of the illustrations text titles and supplied graphics may also be used. Additional charges apply for stock imagery or purchased items to be used in the video.
 

All packages – All packages include the following:
 

Script writing - A script will be written conforming to the Customer’s brief. The Supplier will make unlimited amendments until the Customer is happy with the script. Once the Customer’s sign off is provided on the script any further amendments may be chargeable.
 

Voice over – The voice over will be of professional quality. The voice over will be the exact text read from the copy of the script signed off by the Customer. Any additional recordings may incur an extra charge.
 

Music – Royalty free music will be provided to suit the Customer’s brief and the video style. If music needs to be changed following sign off, an extra charge may apply.

 

The Supplier aims to work to fixed turnarounds. The Supplier will make every effort to meet the deadlines below:

 

Initial script writing process – 3 working days after the brief has been established.
 

Illustration & Storyboard production – 8 working days after the script has been signed off.
 

Video production – 5 working days for website and mobile videos, 8 working days for animated videos after the script or storyboard has been signed off.  Should there be a variation in these turnaround times the Supplier will notify the Customer by the Customer’s preferred method of communication.
